Agreement to Terms

By accessing or using ScaleHouse Systems services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

Services Description

ScaleHouse Systems provides administrative and documentation support for dental practice compliance management, including OSHA and HIPAA requirements. We organize, maintain, and update compliance documentation on your behalf.

Important: ScaleHouse Systems provides administrative support and documentation management. We do not provide legal advice, certification of compliance, or guarantee that your practice will pass inspections. You remain responsible for actual compliance with all applicable laws and regulations.

Your Responsibilities

You agree to:

• Provide accurate and complete information about your practice
• Respond to our requests for information in a timely manner
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account
• Comply with all applicable laws and regulations

Payment Terms

Payment is due as specified in your service agreement. We accept major credit cards and ACH transfers. Invoices are sent monthly and payment is due within 15 days of invoice date.

Late payments may result in suspension of services and a late fee of 1.5% per month on outstanding balances.

Cancellation Policy

Either party may cancel this agreement with 30 days written notice. Upon cancellation:

• You will be responsible for payment for services rendered through the end of the notice period
• We will provide you with copies of all documentation we maintain on your behalf
• We will retain compliance records as required by law, then securely delete your data as outlined in our Privacy Policy

No refunds will be provided for partial months of service or prepaid services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALEHOUSE SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless ScaleHouse Systems from any claims, damages, or expenses arising from your use of our services or violation of these terms.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email. Continued use of our services after changes become effective constitutes acceptance of the modified terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of [Your State], without regard to its conflict of law provisions.
